Terms of Service

1. The service

TruckDesk is software for running a field-service business: call answering, quoting, scheduling, invoicing, payments, and related tools (“the Service”), provided by Rivet Technologies LLC (“we”, “us”), the company behind TruckDesk. By creating an account or using the Service you agree to these terms on behalf of yourself and, if applicable, the business you represent. The Service is for businesses, not consumers.

2. Accounts

You are responsible for your account credentials and for activity under your account, including teammates you invite and the permissions you give them. Keep your information accurate. You must be at least 18 and able to form a binding contract.

3. Your content and data

Your customers, price book, quotes, invoices, photos, and files remain yours. You grant us only the rights needed to operate the Service for you — storing, processing, transmitting, and displaying your content to you, your team, and the customers you send documents to. We do not claim a broader license, we do not use your data to train AI models, and your data is never pooled with or shown to another business. You can export your data at any time. You are responsible for having the right to put into TruckDesk what you put into it.

4. Acceptable use

Don’t use the Service to break the law, to send spam, to infringe others’ rights, to probe, overload, or disrupt the Service, or to misrepresent who you are to your customers. Don’t resell the Service, operate it for a business other than your own, or reverse-engineer it. Don’t use it to build, train or benchmark a competing product, or copy its features, screens or content, whether by hand or with bots, scrapers or AI agents; your own data is always yours to export. We may suspend accounts that do.

5. AI-assisted features

Some features draft content — quotes, summaries, suggestions, call notes — automatically from your own data. AI output can be wrong, incomplete, or oddly phrased. You are responsible for reviewing anything before you send it to a customer or act on it. Prices on quotes come from your price book; verify them before sending. Nothing the Service produces is legal, tax, accounting, or professional advice.

6. Calls, texts, and recordings

When you turn on call answering, an AI assistant answers calls to your business line — and, if you enable it, places short appointment-confirmation calls — on your behalf. Calls are recorded, transcribed, and summarized so you can read what happened, and every call carries a spoken notice that it may be recorded. You are responsible for making sure using these features is lawful for your business and your locations — including any consent or notice rules that apply to call recording and outbound calls where you and your customers are — and for the communications you send through the Service generally: send only to people who have given you any consent the law requires, honor opt-outs, and follow the laws that apply to your messages. The assistant’s line is not an emergency service; callers describing an emergency are told to hang up and call emergency services.

7. Fees, trials, and renewal

Paid plans are billed monthly or yearly, as you choose, and renew automatically at the end of each billing period until you cancel. If your plan starts with a free trial, your card is charged when the trial ends unless you cancel first. You can cancel at any time from Settings; cancellation takes effect at the end of the current billing period, and fees already charged are non-refundable. Your price is locked while you are subscribed: the price you signed up at does not increase for as long as your subscription remains active. Price changes apply only to new subscriptions, or if you cancel and later return. Plans include a monthly allowance of AI calling minutes; we never bill overage — near the allowance, optional outbound features pause first so call answering keeps working.

8. Payments you collect

Payments on invoices and quotes are processed by TruckDesk’s payment processor (currently Stripe), under that processor’s terms, and settle to your connected payment account; TruckDesk does not hold your money. TruckDesk charges a payment-processing fee on every payment you collect through the Service — currently 2.99% plus 30¢ per card payment and 0.8% (capped at $5) per bank payment, both in US dollars — deducted from each payment, so the amount that reaches you is the payment less that fee. The fee covers the processor’s and card networks’ charges and may include a margin for TruckDesk. We may change the rates with at least 30 days’ notice in the Service or by email; continuing to collect payments after the notice period is acceptance of the new rates. You may choose in Settings to add the card fee to your paying customer’s total instead; where you do, the amount added never exceeds 3% of the payment (the card networks’ limit) and any fee beyond it is deducted as above, and you are responsible for doing so lawfully in your state and under the card networks’ rules. Refunds return the payment to your customer and the processing fee is not returned. Disputes and chargebacks are between you and your customer: the disputed amount and any network dispute fee are recovered from your connected account or your payouts, and you agree to keep enough balance to cover them.

9. Third-party services

The Service connects to third parties you choose — for example Stripe for payments, QuickBooks Online for bookkeeping, and Google for sign-in. Their terms govern your use of their services; we are not responsible for them.

10. Early features and feedback

Features marked early, beta, or preview may change, misbehave, or be withdrawn without notice, and are provided as-is. If you send us suggestions or feedback, we can use them without obligation to you.

11. Disclaimer

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free. We do not guarantee any particular outcome — revenue, the number or size of jobs, close or booking rates, or savings — and we do not guarantee that call answering, AI drafting, scheduling, notifications, or the delivery of messages and documents will be available, timely, complete, or accurate. You are responsible for your own business decisions and for reviewing and confirming anything the Service produces or sends on your behalf.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive, or consequential damages; for lost profits, revenue, business, goodwill, or data; for missed, delayed, or mishandled calls, messages, or appointments; or for the acts, failures, or fees of third-party services such as Stripe, Google, telecom carriers, or your other integrations. Our total liability for all claims, whether in contract, tort, or any other theory, is limited to the greater of $100 and the amounts you paid us in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain of these limitations, so some may not apply to you; where that is so, our liability is limited to the least the law allows.

13. Your responsibility for your use

You agree to defend, indemnify, and hold us harmless from any third-party claim, loss, or expense — including reasonable attorneys’ fees — arising from your use of the Service; your content and data; the work, products, and services you provide to your customers and your dealings with them; the payments you collect and any fees or surcharges you set or pass on; the calls, texts, recordings, and other communications you send or authorize through the Service; or your violation of any law (including telemarketing, call-recording-consent, card-surcharging, and consumer-protection laws) or of these terms.

14. Termination

You can cancel at any time. Your data remains exportable for 30 days after cancellation, after which it is archived and then removed from live systems on our retention schedule. We may suspend or terminate accounts for violation of these terms, for security reasons, or where the law requires; where practical we will tell you why.

15. Changes

We may update these terms; material changes will be notified in the product or by email at least 14 days before they take effect. Continued use after that is acceptance.

16. Governing law and disputes

These terms are governed by the laws of the state in which TruckDesk is organized, without regard to its conflict-of-laws rules, and you and we submit to the courts located there for any dispute the law allows to be heard in court. To the extent permitted by law, each of us waives any right to a jury trial. Before filing anything, you agree to contact us and try in good faith to resolve the matter informally for 30 days.

17. General

You may not assign or transfer these terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, financing, or sale of assets. We are not responsible for delays or failures caused by events beyond our reasonable control, including outages, third-party or telecom failures, and acts of God. If any provision is held unenforceable, the rest stay in effect and that provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy and any plan you accept, are the entire agreement between us and supersede prior discussions. Nothing here creates a partnership, agency, or employment relationship between us. Provisions that by their nature should survive termination do — including ownership of your content and data, amounts owed, the disclaimers, the limitation of liability, indemnification, and this section.

18. Copyright complaints

If you believe material on the Service infringes your copyright, send a notice to our designated agent: Copyright Agent, Rivet Technologies LLC, 5900 Balcones Dr, Ste 100, Austin, TX 78731; (830) 380-7175; support@truckdesk.ai. Include the work you say is infringed, where the material is on the Service, your name, address, phone, and email, a statement that you believe in good faith the use isn’t authorized by the owner, its agent, or the law, and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner, with your physical or electronic signature. We remove or disable access to infringing material and end the accounts of repeat infringers. If your material was removed by mistake, you can send a counter-notice to the same agent.
